Zarz\u0105d Sp\u00f3\u0142ki FON SE z siedzib\u0105 w Tallinnie informuje, \u017ce w dniu 20.12.2023 roku w\u0142a\u015bciwy dla prawa Estonii rejestr sp\u00f3\u0142ek handlowych _Ariregister_ dokona\u0142 rejestracji podwy\u017cszenia kapita\u0142u zak\u0142adowego Sp\u00f3\u0142ki FON SE wynikaj\u0105cego z uchwa\u0142 podj\u0119tych na Zwyczajnym Walnym Zgromadzeniu Akcjonariuszy w dniu 23.11.2023 roku.<\/p>\n

W zwi\u0105zku z powy\u017cszym aktualne brzmienie punktu 2.1 oraz 2.4 Statutu Sp\u00f3\u0142ki jest nast\u0119puj\u0105ce:<\/p>\n

„2.1 Minimalny kapita\u0142 zak\u0142adowy sp\u00f3\u0142ki to 14 250 000 _czterna\u015bcie milion\u00f3w dwie\u015bcie pi\u0119\u0107dziesi\u0105t tysi\u0119cy_ euro, a maksymalny kapita\u0142 zak\u0142adowy to 57 000 000 _pi\u0119\u0107dziesi\u0105t siedem milion\u00f3w_ euro.”<\/p>\n

„2.4. Minimalna liczba akcji Sp\u00f3\u0142ki bez warto\u015bci nominalnej to 142 500 000 _sto czterdzie\u015bci dwa miliony pi\u0119\u0107set tysi\u0119cy_ akcji, a maksymalna liczba akcji Sp\u00f3\u0142ki bez warto\u015bci nominalnej to 570 000 000 _pi\u0119\u0107set siedemdziesi\u0105t milion\u00f3w_ akcji.”<\/p>\n

Obecnie kapita\u0142 zak\u0142adowy Sp\u00f3\u0142ki FON SE wynosi 14 250 000 EUR oraz dzieli si\u0119 na 142 500 000 akcji bez warto\u015bci nominalnej o warto\u015bci ksi\u0119gowej 0,10 EUR ka\u017cda akcja.<\/p>\n

W za\u0142\u0105czeniu do niniejszego raportu Emitent przekazuje aktualne brzmienie Statutu Sp\u00f3\u0142ki w polskiej, esto\u0144skiej oraz angielskiej wersji j\u0119zykowej.<\/p>\n

The Management Board of FON SE with its registered office in Tallinn informs that on 20 December 2023 the Commercial Companies Register _Ariregister_ competent for Estonia’s law registered an increase in the share capital of FON SE resulting from the resolutions adopted at the Ordinary General Meeting of Shareholders on 23\/11\/2023 .<\/p>\n

In connection with the above, the current wording of point 2.1 and 2.4 of the Company’s Articles of Association is as follows:<\/p>\n

„2.1.The minimum amount of share capital of the Company is 14 250 000 _fourteen million two hundred fifty thousand_ euros and the maximum amount of share capital is 57 000 000 _fifty seven million_ euros.”<\/p>\n

„2.4 The minimum number of the shares of the Company without nominal value is 142 500 000 _one hundred forty-two million five hundred thousand_ shares and the maximum number of the shares of the Company without nominal value is 570 000 000 _five hundred seventy million_ shares.”<\/p>\n

Currently, the share capital of FON SE amounts to EUR 14 250 000 and is divided into 142 500 000 shares without par value with a book value of EUR 0,10 each.<\/p>\n

Attached to this report, the Issuer provides the current wording of the Articles of Association in the Polish, Estonian and English.<\/p>\n
