Po\u017cyczka jest oprocentowana w wysoko\u015bci zmiennej stopy procentowej WIBOR dla depozyt\u00f3w 1 jedno miesi\u0119cznych w okresie do dnia 31 grudnia 2020 roku. Od dnia 01 stycznia 2021 r. oprocentowanie po\u017cyczki wynosi\u0107 b\u0119dzie w wysoko\u015bci zmiennej stopy procentowej WIBOR dla depozyt\u00f3w 1 jedno miesi\u0119cznych powi\u0119kszonej o 1%. FON SE zabezpieczy\u0142 zwrot kwoty po\u017cyczki wraz z odsetkami oraz ewentualnych innych roszcze\u0144 wzgl\u0119dem Po\u017cyczkobiorcy jakie mog\u0105 powsta\u0107 z tytu\u0142u zawartej Umowy poprzez otrzymanie weksla w\u0142asnego in blanco wraz z deklaracj\u0105 wekslow\u0105 Po\u017cyczkobiorcy.<\/p>\n
Emitent ponadto informuje, \u017ce pomi\u0119dzy FON SE z siedzib\u0105 w Tallinnie, a sp\u00f3\u0142k\u0105 ELKOP SE w P\u0142ocku, Polska zachodz\u0105 powi\u0105zania osobowe. Prezes Zarz\u0105du Emitenta pe\u0142ni funkcj\u0119 Cz\u0142onka Rady Nadzorczej Emitenta. Prezes Zarz\u0105du Po\u017cyczkobiorcy pe\u0142ni funkcje w Radzie Nadzorczej Emitenta. Ponadto znacz\u0105cy akcjonariusz Po\u017cyczkobiorcy _40,1%_ jest r\u00f3wnie\u017c znacz\u0105cym akcjonariuszem Emitenta _33,9%_.The Management Board of FON SE with headquarters in Tallinn hereby informs that on 30\/12\/2019 as the Lender concluded a Cash Loan Agreement with ELKOP SE with headquarters in P\u0142ock _KRS: 0000782225_ as the Borrower.<\/p>\n
Pursuant to the Agreement of 30\/12\/2019, the Issuer granted the Borrower a cash loan in the amount of PLN 27.200.000,00 _in words: twenty seven million two hundred thousand zlotys 00\/100_ for the period to 31\/12\/2024.<\/p>\n
The loan bears an interest rate of variable WIBOR for one-month deposits in the period to 31\/12\/2020. Since 01\/01\/2021, the interest rate on the loan will be equal to the variable WIBOR interest rate for 1-month deposits increased by 1%. The parties agreed that the Borrower will repay interest on a monthly basis which will be payable in arrears for each calendar month by the 20th day of the following month. The capital will be paid once until 31\/12\/2024.<\/p>\n
The parties to the Loan Agreement agreed that the Borrower has the right to early repayment of all or part of the capital of the loan granted.<\/p>\n
Pursuant to the terms of the concluded Loan Agreement, the loan was disbursed on the day the Loan Agreement was concluded.<\/p>\n
FON SE secured the repayment of the loan amount, including interest and any other claims against the Borrower that may arise from the concluded Agreement by receiving a blank promissory note together with the Borrower’s promissory note declaration.<\/p>\n
The Issuer also informs that there are personal ties between FON SE based in Tallinn and the company ELKOP SE in P\u0142ock, Poland. The Chairman of the Issuer’s Management Board is a Member of the Issuer’s Supervisory Board. The Chairman of the Management Board performs functions on the Issuer’s Supervisory Board. In addition, three of the Borrower’s Supervisory Board Members are Members of the Issuer’s Supervisory Board. In addition, the Borrower’s significant Shareholder _40.1%_ is also the Issuer’s significant Shareholder _33.9%_.<\/p>\n
