Na mocy Umowy z dnia 30.12.2019r. Emitent otrzyma\u0142 po\u017cyczk\u0119 pieni\u0119\u017cn\u0105 w kwocie 27.259.500 z\u0142 _s\u0142ownie: dwadzie\u015bcia siedem milion\u00f3w dwie\u015bcie pi\u0119\u0107dziesi\u0105t dziewi\u0119\u0107 tysi\u0119cy pi\u0119\u0107set_ na okres do dnia 31.12.2024 r. Po\u017cyczka jest oprocentowana w wysoko\u015bci zmiennej stopy procentowej WIBOR dla depozyt\u00f3w 1 jedno miesi\u0119cznych +0,5%.<\/p>\n
Strony ustali\u0142y, \u017ce odsetki od udzielonej po\u017cyczki naliczane b\u0119d\u0105 w okresach miesi\u0119cznych i p\u0142atne b\u0119d\u0105 jednorazowo wraz ze sp\u0142at\u0105 ca\u0142o\u015bci po\u017cyczki w dniu 31.12.2024r. Strony Umowy po\u017cyczki zgodnie ustali\u0142y, \u017ce Po\u017cyczkodawcy przys\u0142uguje prawo do przedterminowego zwrotu ca\u0142o\u015bci lub cz\u0119\u015bci kapita\u0142u udzielonej po\u017cyczki.<\/p>\n
Zgodnie z warunkami zawartej Umowy po\u017cyczki wyp\u0142ata po\u017cyczki nast\u0105pi\u0142a w dniu zawarcia Umowy.<\/p>\n
Po\u017cyczkodawca zabezpieczy\u0142 zwrot kwoty po\u017cyczki wraz z odsetkami oraz ewentualnych innych roszcze\u0144 jakie mog\u0105 powsta\u0107 z tytu\u0142u zawartej Umowy poprzez otrzymanie od Po\u017cyczkobiorcy weksla w\u0142asnego in blanco wraz z deklaracj\u0105 wekslow\u0105.<\/p>\n
Emitent ponadto informuje, \u017ce pomi\u0119dzy FON SE, a sp\u00f3\u0142k\u0105 ATLANTIS SE w Tallinie, Estonia zachodz\u0105 powi\u0105zania osobowe. Prezes Zarz\u0105du Emitenta pe\u0142ni funkcj\u0119 Prezesa Zarz\u0105du Po\u017cyczkobiorcy. Ponadto trzech z Cz\u0142onk\u00f3w Rady Nadzorczej Emitenta pe\u0142ni funkcj\u0119 w Radzie Nadzorczej Po\u017cyczkobiorcy. Ponadto Emitent informuje, \u017ce znacz\u0105cy akcjonariusz Emitenta _33,9%_ jest r\u00f3wnie\u017c znacz\u0105cym akcjonariuszem Po\u017cyczkobiorcy _63,6%_. The Management Board of FON SE in Tallinn hereby informs that on 30\/12\/2019 the Issuer as a Borrower concluded a Cash Loan Agreement with ATLANTIS SE with its registered office in Tallinn, Estonia _number in the Ariregister register Estonia: 14633855_ as the Lender.<\/p>\n
Under the Agreement of 30\/12\/2019 The Issuer has received a cash loan in the amount of PLN 27.259.500,00 _in words: twenty seven million two hundred fifty nine thousand five hundred_ for the period ending on 31\/12\/2024. The loan bears interest at the variable WIBOR interest rate for 1-month deposits + 0.5%.<\/p>\n
The parties agreed that interest on the loan will be calculated on a monthly basis and will be payable once together with the repayment of the entire loan on 31\/12\/2024. The parties to the Loan Agreement have agreed that the Lender has the right to early repayment of all or part of the capital of the loan granted.<\/p>\n
Pursuant to the terms of the concluded Loan Agreement, the loan was disbursed on the day of conclusion of the Agreement.<\/p>\n
The lender has secured the repayment of the loan amount together with interest and any other claims that may arise from the concluded Agreement by receiving from the Borrower a blank promissory note together with a promissory note declaration.<\/p>\n
The Issuer also informs that there are personal ties between FON SE and ATLANTIS SE in Tallinn, Estonia. The Chairman of the Issuer’s Management Board acts as the Chairman of the Borrower’s Management Board. In addition, three Members of the Issuer’s Supervisory Board perform the function of the Borrower’s Supervisory Board. In addition, the Issuer informs that the Issuer’s significant Shareholder _33,9%_ is also the Borrower’s significant shareholder _63,6%_.<\/p>\n
